Merchant Terms & Conditions
01Introduction & acceptance
Radyus is a quick-commerce platform operated by Guruvar Technologies Pvt. Ltd.("Radyus", "we", "us" or "our"). It connects customers with local stores that prepare their orders, and with delivery partners who deliver them in minutes.
These Merchant Terms & Conditions (the "Terms") are a binding agreement between Radyus and you, the store owner registering on or using the Radyus Merchant app ("you" or the "Merchant"). They cover registering your store and every order you accept, prepare and hand over through the platform.
You accept these Terms when you tick "I confirm the details above are correct and agree to the Terms & Conditions" and submit your registration. We record when you accepted and the IP address you accepted from. If you do not agree, do not register or use the Merchant app. Our Privacy Policy explains how we handle your information and forms part of these Terms.
02Definitions
- Platform — the Radyus Consumer app, the Radyus Merchant app and the systems and services behind them.
- Store — the physical shop you register on the Platform and fulfil orders from.
- Customer — a person who places an order through the Radyus Consumer app.
- Order — a customer's request for products, made and paid for through the Platform.
- Delivery Partner — the person assigned to collect an order from your Store and deliver it to the customer.
- Item Total — the total price of the products in an order, not counting the delivery fee or other platform charges.
- Delivery Fee — the fee the customer pays for delivering an order.
- Commission — the fee Radyus charges you for each order, as set out in section 9.
- Payment Gateway — Razorpay Software Pvt. Ltd., or any other regulated payment provider we appoint, including its Route service, which we use to pay out your earnings.
03Eligibility
To register as a Merchant, you must:
- be at least 18 years old and able to enter into a binding contract under Indian law;
- run a Store in India and have a valid Indian mobile number;
- sell as an individual or as the owner of a sole proprietorship. Partnerships, companies, LLPs, trusts and other entities can only be onboarded under a separate written agreement with us;
- hold a valid personal PAN, and every licence, registration and approval your business needs by law.
Each PAN can be linked to only one Store, and each mobile number to only one Radyus account type. We may refuse any registration that does not meet these requirements.
04Registration & verification
To register, you will be asked to provide:
- Merchant details — your name, email address and the mobile number you verify with a one-time password (OTP).
- Store details — your store name, business type, store address and the precise location of your Store, which you capture on the map.
- KYC and bank details — your PAN, Aadhaar number, GSTIN (if you have one), and your bank account number, IFSC and the name on the bank account.
- Documents and photos — any verification documents and store photos we ask for, such as your PAN card, Aadhaar card, bank proof, GST certificate and photos of your store front.
You confirm that everything you provide is true, accurate, complete and belongs to you or your business. You must tell us promptly if any of it changes. You authorise Radyus and the Payment Gateway to verify these details, including with government databases, banks and other verification providers, and to share them with the Payment Gateway to create and activate the account that receives your earnings.
05Review & approval
After you submit your registration, it is reviewed. While we review it, the app shows your application as "under review". We may ask for more information or documents, and we may approve or reject any application at our reasonable discretion, including for incomplete, inconsistent or unverifiable details.
You can start receiving orders only after your Store is approved and the Payment Gateway has activated your payout account. The Payment Gateway may apply a short cooling period after activation. If your application is not approved, please contact our support team to find out why and how to resolve it.
Approval is not permanent. We may put your Store back under review, suspend it or revoke approval if we find the information you gave is inaccurate, the Payment Gateway suspends your payout account, or you breach these Terms.
06Your account & security
You sign in to the Merchant app with your registered mobile number and an OTP. You are responsible for all activity on your account and on the devices you use it on, including by your staff. Keep your phone and OTPs secure, do not share your account with anyone outside your business, and tell us immediately if you suspect unauthorised use.
07Orders & fulfilment
- New orders. Paid customer orders are sent to eligible Stores through the Merchant app. The first Store to accept an order is assigned to it.
- Declining. You may decline an order you cannot fulfil. If no Store accepts an order within the time window the Platform sets, it is cancelled automatically and the customer is refunded.
- Once you accept. You must pack the order promptly and accurately, with exactly the items and quantities ordered, mark it "Ready for pickup" in the app, and hand it to the assigned Delivery Partner. Delivery times shown to customers assume a short preparation time, so please keep orders moving.
- Cancelling after accepting. You must not cancel an order after accepting it except through our support team. If an item is unavailable, contact support; substitutions or partial orders are allowed only with our or the customer's approval.
- Handover. Hand the order only to the Delivery Partner assigned to it, whose details appear in the app. You are responsible for the order until it is handed over.
08Products, quality & compliance
You are the seller of the products you supply, and you are solely responsible for them. You must make sure every product:
- is genuine, of merchantable quality, safe, and within its expiry or best-before date;
- is packed properly, is not tampered with, and carries the labelling the law requires;
- is sold at or below its maximum retail price (MRP);
- complies with all applicable laws, including the Legal Metrology Act, 2009, the Food Safety and Standards Act, 2006 (with a valid FSSAI licence or registration where food is sold), the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and GST laws.
You must not supply prohibited or restricted items through the Platform. These include alcohol, narcotics, prescription-only medicines, tobacco products to anyone under 18, weapons, hazardous or illegal goods, and counterfeit or stolen goods.
09Pricing, commission & fees
- Customer payments. Customers pay for orders through the Platform, and payments are collected by the Payment Gateway.
- Commission. For each delivered order, Radyus charges a commission calculated as a percentage of the Item Total, at the rate shown to or agreed with you during onboarding. Your earning for an order is the Item Total minus the commission.
- Delivery Fee. The Delivery Fee and any other charges paid by the customer belong to Radyus and are not included in your earnings.
- Changes. We may revise the commission rate or introduce new fees by giving you notice in the app or by email. The revised rate applies to orders placed after it takes effect, and continuing to accept orders means you accept it.
- Taxes. Commission and fees are exclusive of applicable taxes, such as GST, which are charged on top.
- Earnings shown in the app. Earnings shown in the Merchant app or in messages are for your information. The amount actually transferred to you, as recorded in your settlement statement, is the final amount.
10Payments & settlement
Your earnings are paid through the Payment Gateway's Route service into the bank account you verified during registration. By registering, you also agree to the Payment Gateway's own terms for linked accounts.
- When you accept an order, your earning for it is set aside and held.
- Once the order is delivered, the hold is released and the amount is settled to your bank account on the Payment Gateway's settlement cycle.
- Settlement timing depends on the Payment Gateway and your bank, and we do not promise a fixed settlement date.
We are not responsible for payouts that are delayed or fail because of incorrect bank details, a suspended or unverified payout account, or reasons within the Payment Gateway's or your bank's control. Please report any discrepancy in your settlements to support within 30 days.
11Refunds, reversals & set-off
Customers may be refunded, fully or partly, for orders that are cancelled, not delivered, incomplete, damaged, expired or otherwise defective. Where a refund is due to something within your control, such as missing, wrong or defective items, you will not receive earnings for the affected part of the order.
For such refunds, and for chargebacks, fraud, duplicate or wrong payouts, we may reverse a transfer before it is settled to you. If the amount has already been settled, we may recover it from you or deduct it from your future payouts, and you agree to pay any amount that cannot be recovered this way on request.
12Taxes & invoicing
You are responsible for your own tax obligations, including registering for GST where required, charging and paying taxes on your sales, and issuing invoices or bills to customers as required by law. Where the law requires Radyus, as an e-commerce operator, to collect or deduct tax at source (such as TCS under section 52 of the CGST Act, 2017 or TDS under the Income-tax Act), we will do so from your payouts and report it against your PAN or GSTIN.
13Customer data & confidentiality
To fulfil orders, you may receive customers' personal information, such as their name, contact number, delivery address and order contents. You may use this information only to fulfil the order it relates to. You must not copy, store beyond what fulfilment needs, sell, share, use it for marketing, or contact customers except about their order. You must protect it in line with the Digital Personal Data Protection Act, 2023 and our Privacy Policy.
You must also keep confidential any non-public information about the Platform, such as commission rates, business terms and technical details.
14Communications
You agree to receive service messages from us on your registered mobile number and email, including OTPs by SMS, new-order alerts by push notification, and order, delivery and daily earnings summaries by WhatsApp. These are part of how the Platform works. You can turn off push notifications in your device settings, but you may then miss orders.
15Intellectual property
The Platform, the Radyus name and logo, and all related software and content belong to Radyus or its licensors. We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Merchant app only to run your Store on the Platform.
You grant Radyus a non-exclusive, royalty-free licence to use your store name, logo, photos and product information to list, display and promote your Store and products on the Platform while you are a Merchant. You confirm you have the right to grant this licence.
16Prohibited conduct
You must not:
- create fake or self-placed orders, manipulate orders, ratings or payouts, or otherwise misuse the Platform;
- ask customers to pay or order outside the Platform for orders that came through Radyus;
- give false information, pretend to be someone else, or register multiple accounts to get around a rejection or suspension;
- copy, reverse-engineer, disrupt or gain unauthorised access to the Platform or its systems;
- harass, abuse or discriminate against customers, Delivery Partners or our staff.
17Suspension & termination
We may suspend or permanently terminate your access to the Platform, with or without notice, if you breach these Terms, provide false or unverifiable information, receive repeated customer complaints, engage in fraud, or if we are required to by law or by the Payment Gateway.
You may stop using the Platform at any time. You can delete your account from within the app (Profile → Delete account) or by writing to us. Deleting your account deactivates it, and you will not be able to sign in again with the same mobile number.
Termination does not affect orders already accepted, settlements or amounts owed by either party, or any clause that by its nature should survive termination, including sections 11, 12, 13, 18, 19 and 21. We keep records as described in our Privacy Policy and as required by law.
18Disclaimers & limitation of liability
Radyus is a technology platform that acts as an intermediary between Merchants, customers and Delivery Partners. The Platform is provided on an "as is" and "as available" basis. We do not guarantee any minimum number of orders, or that the Platform will be uninterrupted or error-free.
To the fullest extent the law allows, Radyus will not be liable for any indirect, incidental, special or consequential loss, including loss of profit, business or goodwill. Our total liability to you for any claim arising from these Terms or the Platform is limited to the total commission we earned from your orders in the three months before the event that gave rise to the claim.
19Indemnity
You agree to indemnify and hold harmless Radyus, Guruvar Technologies Pvt. Ltd. and their directors, employees and partners from any claims, losses, penalties and costs (including reasonable legal fees) arising from the products you supply, your breach of these Terms or of any law, your taxes, or your misuse of customer data.
20Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you in the app or by email and update the "Last updated" date above. If you continue to use the Platform after the changes take effect, you accept the revised Terms. If you do not agree, you may stop using the Platform and delete your account.
21Governing law & disputes
These Terms are governed by the laws of India. If a dispute arises, please contact us first so we can try to resolve it in good faith. Any dispute we cannot resolve within 30 days will be subject to the jurisdiction of the competent courts in India.
